1. Acceptance of Terms

By accessing or using Back On Market Docs ("BOMDocs", "Service", "Platform", "we", "us", "our"), you agree to these Terms & Conditions. If you do not agree, do not use the Service. These Terms apply to all users, including guests, buyers (User role), Uploaders, Realtors, Mortgage Lenders (Lender role), Developers, and Admins.

Our Privacy Policy explains how we handle personal information. Informational pages such as About describe product positioning; these Terms control your legal rights and obligations regarding the Service. Approved Developers are also bound by the separate Developer Agreement and Acceptable Use Policy (AUP) when those documents are presented at API key issuance or Developer onboarding.

2. Platform Description and Geographic Scope

BOMDocs is a digital marketplace for professional property-related documents (for example home inspections, appraisals, sewer scopes, pest inspections, radon tests, bids/quotes, and similar reports). Eligible rights holders may list documents; buyers may purchase a limited license to view and download the file subject to these Terms and any license limits shown at purchase.

Important: Purchasing access grants a license to use the document as described in Section 5. It does not transfer ownership of the underlying copyright in third-party professional reports to the buyer. Your rights are those granted by the purchase license and these Terms.

Public browsing may show listing metadata and a watermarked preview. After a valid purchase, licensed download delivers a file stamped for the buyer (see Section 5 — Delivery). Preview and download behavior may evolve for security and product reasons; ops reference is maintained in our internal document-delivery policy.

United States launch. At launch, the Service is intended for users and listings in the United States only. We may restrict accounts, uploads, purchases, or payouts outside the U.S. Expansion to the EEA/UK or other regions is a future product decision and is not offered at launch.

3. Services Provided

• Report Marketplace: Browse, search, preview (watermarked), and purchase licensed access to listed reports. Listings generally require admin approval before they are available for purchase.
• Upload and Listing: Users who lawfully own or control eligible documentation—and who can grant the rights in Section 7—may upload listings. When buyers purchase licenses, eligible uploaders may earn commissions under Section 6. Commissions are not guaranteed; amounts depend on price, attribution, subscription tier (if any), refunds, and our commission rules.
• Referral Program: Realtors, Mortgage Lenders, and other eligible referrers may earn commissions when purchases are attributed to their referral codes, subject to these Terms and displayed rates. Referral programs are single-level marketplace attribution, not a securities offering or multi-level marketing scheme.
• Subscriptions (Where Offered): Certain roles may subscribe to plans that affect commission rates. Subscriptions do not, by themselves, grant buyers unlimited report access unless we expressly offer such a product.
• Developer API: API keys are granted only via admin/support approval (not unapproved self-serve). Developer uploads still require admin listing approval. Usage is subject to the Developer Agreement, AUP, usage limits, and Section 8.
• Optional AI Document Overview: When enabled, short automated overviews may appear on report pages. See Section 5.
• Support: Contact submissions create tickets handled through our Contact Inbox for follow-up. Email is transactional/operational unless you separately opt into marketing communications.

Marketing language about transparency or putting paid-for documents back to work describes product purpose. It is not a warranty of earnings, investment return, report accuracy, or regulatory compliance of any third-party professional. "Earn" means potential marketplace commissions only.

4. User Accounts and Responsibilities

To use certain features you must register. You agree to:

• Provide accurate, current, and complete registration information
• Maintain and update your account information
• Keep passwords confidential and enable two-factor authentication (2FA) when available if appropriate for your risk profile
• Notify us promptly of unauthorized access
• Accept responsibility for activity under your account
• Comply with applicable laws, including professional licensing rules that apply to you

Professional roles: Selecting Realtor, Mortgage Lender, Uploader, or Developer does not mean BOMDocs verifies your professional licenses, firm affiliations, or authority to practice. You are solely responsible for complying with laws governing real estate brokerage, mortgage lending, appraisal, home inspection, and related professions in your jurisdiction.

Developer accounts may require admin approval before API access is granted. We may suspend or terminate accounts that violate these Terms or engage in fraud, abuse, or illegal activity.

5. Report Purchases and Licenses

Purchase Rights

When you purchase a report through BOMDocs:

• You receive a single-user (or as otherwise stated at checkout) license to view and download the report file within the limits of your license
• Access is tied to your account and license records
• You may share the report with trusted parties involved in your real estate transaction (for example your realtor, attorney, contractor, or lender), provided you do not create a competing marketplace or commercial redistribution
• You may use report information to inform your own decisions; you remain responsible for verifying current conditions with qualified professionals

Delivery (Licensed Download)

Licensed downloads are delivered as watermarked files stamped approximately "Licensed to {accountId}" (your account identifier), so that redistribution can be traced to the licensed account. Preview versions may use a brand-only watermark. Uploaders and admins may retain access to original files for operational reasons where the product allows. Removing or circumventing watermarks is prohibited.

Usage Restrictions

You may not:

• Resell or redistribute the report for commercial gain without our prior written permission
• Upload the same purchased file to other marketplaces in violation of these Terms or the uploader's rights
• Remove watermarks or circumvent security on preview or licensed download versions
• Exceed license download/view limits or share account credentials to evade limits
• Use the report for illegal or fraudulent purposes
• Alter report content in a way that misrepresents the original author or findings

Report Accuracy Disclaimer

Reports are created by third-party professionals. BOMDocs does not create, verify, edit, or guarantee the accuracy, completeness, currency, or suitability of any report. Reports reflect conditions at the time of inspection or assessment and may not reflect current property conditions. Always obtain current professional advice where needed.

AI-Generated Overviews

When enabled, the Service may offer short automated summaries derived from extractable text in report files. Outputs are informational only, may be incomplete or incorrect, and are not a substitute for reading the full file or obtaining professional advice. BOMDocs does not warrant AI-generated content and does not use overviews as the sole basis for denying account access or determining legal eligibility.

6. Payments, Pricing, Commissions, and Refunds

Transactions are processed in U.S. Dollars (USD) through Stripe (cards only at launch; or a successor processor). Payment is due at purchase. We may offer subscriptions that affect commission rates for uploaders and referrers; buyer "unlimited access" subscriptions are not implied unless expressly offered.

Pricing

Listing prices are set in the product (typically by uploaders or through approved workflows) and shown before purchase. Prices may vary by report type, location, and other factors. The amount charged at Stripe checkout is the discounted total shown in the UI; commissions are calculated on the amount actually charged.

Commissions and Revenue Share

When a license is sold, eligible participants may receive commissions according to our then-current rates (uploader, referrer, and where applicable developer attribution). Rates are typically tiered and may be higher for subscribed uploaders/referrers. Current rates appear in account/dashboard surfaces where implemented. We may adjust commission structures with reasonable advance notice to affected users (for example 30 days) where practicable.

Commissions may be reversed or adjusted for refunds, chargebacks, fraud, attribution errors, or policy violations. "Earn" language in marketing means potential marketplace commissions—not an investment contract, guaranteed income, or securities offering.

Payouts (Stripe Connect; Manual at Launch)

Payouts to eligible uploaders and referrers are processed via Stripe Connect (or equivalent Stripe payout rails). We do not pay commissions via Venmo, PayPal cash apps, or informal peer-to-peer transfers. At launch, payouts are manual (request and/or admin review). A post-launch roadmap may add scheduled automatic payouts at or above a minimum threshold of approximately USD $20 (exact threshold and schedule subject to ops config and counsel verification)—not a guarantee of timing or eligibility.

We may deny or delay payouts for reasons including suspected fraud; chargebacks or disputes; Terms violations; incomplete Stripe Connect or payout account setup; missing tax information (for example W-9 / Form 1099 as required); or disputed eligibility. Where practicable we will provide a reason. We are not obligated to pay amounts tied to unresolved denial reasons.

Refunds and Chargebacks

Because delivery is digital and license-gated, sales are generally final once the report is accessible under a valid license. We may consider refunds case-by-case for technical delivery failures or clear listing errors. Refunds may revoke licenses and reverse commissions. Contact [email protected] via the Contact form to request a review. Initiating a chargeback without contacting us first may result in account review or suspension.

7. Intellectual Property Rights

Uploader Ownership Grant to BOMDocs

By uploading a report, you represent that you are the author of the report or a prior lawful obtainer with all rights necessary to list it and to grant the rights described here. You warrant that your upload does not infringe third-party rights and that any required consents (client, firm, or professional) have been obtained. BOMDocs is not liable for wrongful uploads by users; you remain responsible for disputes and takedown requests arising from your listings.

You grant BOMDocs ownership of the uploaded document for marketplace purposes as described in the upload/onboarding flow (assignment or exclusive marketplace rights sufficient for BOMDocs to host, display including watermarked previews, promote the listing, process content for optional AI overviews when enabled, and sell view/download licenses to buyers). Counsel will confirm final assignment vs. exclusive-license wording before treating this section as launch-final. Buyer License vs. Copyright

Buyers receive a limited license as in Section 5, not ownership of the report's copyright, unless expressly stated in writing.

Platform Content

Website design, logos, software, and BOMDocs-authored text are owned by Back On Market Docs or its licensors and protected by applicable IP laws.

Infringement Notices (DMCA)

If you believe content on the Service infringes your copyright, contact us through Contact with sufficient detail to identify the work and listing (and, when designated, the DMCA agent at the placeholders above). We may remove or disable access to disputed material and, where appropriate, terminate repeat infringers. We keep a DMCA-style notice-and-takedown path because the Service hosts user-uploaded professional documents and relies on copyright safe-harbor practices; formal Copyright Office agent designation and counter-notice procedures should be confirmed by counsel before launch.

8. Developer API Terms

If you are an approved Developer:

• Keep API keys confidential; you are responsible for all use under your keys
• Comply with documented endpoints, authentication, and any rate or usage limits
• Do not probe for vulnerabilities, scrape beyond permitted APIs, or resell raw API access without written permission
• Pay applicable API usage or package fees; logs, rate limits, and billing roll up per API key
• Ensure your application's end users receive only licensed content consistent with these Terms
• Accept the separate Developer Agreement and Acceptable Use Policy (AUP) when presented (drafts for counsel: internal docs under docs/LEGAL.md#developer-agreement and docs/LEGAL.md#api-acceptable-use-policy)

We may revoke keys, throttle usage, or suspend Developer access for abuse, nonpayment, security risk, or Terms violations. Enterprise or package deals may be governed by a separate written agreement that controls if it conflicts with this section.

9. Prohibited Uses

You agree not to use the Service to:

• Violate any applicable law or regulation
• Infringe intellectual property or privacy rights
• Upload false, misleading, stolen, or unauthorized reports
• Impersonate any person or entity
• Interfere with or disrupt the Service
• Attempt unauthorized access to systems, accounts, or data
• Use bots or scrapers except through approved APIs and within limits
• Upload malware or harmful code
• Harass or harm other users
• Harvest user information without consent
• Misrepresent BOMDocs as the author or guarantor of third-party professional reports

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT REPORTS OR AI OVERVIEWS ARE ACCURATE, COMPLETE, OR CURRENT.

BOMDocs is a marketplace facilitator for licensed document access. We are not a publisher that independently verifies report content, and we are not your realtor, lender, inspector, appraiser, or attorney.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BACK ON MARKET DOCS AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES; OR FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES ARISING FROM YOUR USE OF THE SERVICE OR ANY REPORT OR CONTENT OBTAINED THROUGH IT.

Our total liability for all claims relating to the Service shall not exceed the greater of (a) the amounts you paid to BOMDocs in the 12 months preceding the claim, or (b) one hundred U.S. dollars (USD $100).

Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted by law. Caps and exclusions remain subject to counsel review for consumer and marketplace statutes that may apply.

12. Indemnification

You agree to indemnify, defend, and hold harmless Back On Market Docs and its affiliates, officers, directors, employees, and agents from claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use or misuse of the Service
• Your violation of these Terms
• Your violation of third-party rights
• Content you upload, including reports that are unauthorized, false, or infringing
• Your professional services or advice to your own clients (BOMDocs is not a party to those relationships)

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the United States and the laws of {{governing_law_state}} (placeholder; product planning has contemplated Utah operations), without regard to conflict-of-law principles, except where mandatory consumer law requires otherwise. Contracting entity: {{legal_entity_name}}.

Except where prohibited, disputes shall be resolved by binding arbitration administered by the American Arbitration Association under its then-current rules, seated in the United States at a venue designated by counsel ({{arbitral_venue}}). You waive jury trial and class actions to the extent permitted by law. Informal resolution through Contact is encouraged before filing.

If any provision is unenforceable, the remaining provisions remain in effect.

14. Changes to Terms

We may modify these Terms. For material changes we may:

• Post updated Terms with a new "Last updated" date
• Email registered users when changes are significant
• Display a notice on the Service

Continued use after the effective date constitutes acceptance where permitted by law. If you disagree, stop using the Service and close your account.

15. Termination

We may suspend or terminate access at any time for reasons including Terms violations, fraud or abuse, legal process, or extended inactivity. You may close your account through account settings or by contacting us.

On termination, your right to use the Service ends. We may retain records as described in the Privacy Policy. Access to previously purchased licenses may continue or end according to license status, refunds, and our operational policies; uploading and earning new commissions will cease.
